1. Acceptance of Terms

By accessing and using the services of 101 Dream OÜ ("Company," "we," "our," or "us"), you ("Client," "you," or "your") agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

3. Services Description

We provide advertising and marketing services including but not limited to:

4. Service Agreements

4.1 Project Proposals

All services begin with a detailed project proposal outlining scope, deliverables, timeline, and costs. Client acceptance of the proposal constitutes a binding agreement.

4.2 Changes to Scope

Any changes to the agreed scope of work must be approved in writing and may result in additional costs and timeline adjustments.

4.3 Client Responsibilities

Clients are responsible for providing timely feedback, necessary materials, and approvals to ensure project completion within agreed timelines.

5. Payment Terms

5.1 Pricing and Invoicing

All prices are quoted in Euros and are exclusive of applicable taxes unless otherwise stated. Invoices are issued according to the payment schedule outlined in the project agreement.

5.2 Payment Terms

Payment is due within 30 days of invoice date unless otherwise agreed. Late payments may incur interest charges of 1.5% per month.

5.3 Project Suspension

We reserve the right to suspend work on projects where payments are overdue by more than 30 days.

6. Intellectual Property Rights

6.1 Ownership of Deliverables

Upon full payment, clients receive ownership of final deliverables specifically created for their project, excluding any pre-existing intellectual property or third-party licensed materials.

6.2 Portfolio Rights

We retain the right to showcase completed work in our portfolio and marketing materials unless otherwise agreed in writing.

6.3 Third-Party Materials

Any third-party materials, fonts, stock images, or software used in projects remain the property of their respective owners and may require separate licensing.

7. Confidentiality

We maintain strict confidentiality regarding all client information and project details. Both parties agree not to disclose confidential information without prior written consent.

8. Warranties and Disclaimers

8.1 Service Warranty

We warrant that our services will be performed with professional skill and care in accordance with industry standards.

8.2 Results Disclaimer

While we strive for excellent results, we cannot guarantee specific outcomes such as sales increases, market share gains, or return on investment.

8.3 Third-Party Services

We are not responsible for the performance of third-party services, platforms, or vendors used in conjunction with our services.

9. Limitation of Liability

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project in question. We shall not be liable for any indirect, incidental, or consequential damages.

10. Force Majeure

Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, government actions, or technical failures.

11. Termination

11.1 Termination by Client

Clients may terminate projects with 30 days written notice. Payment is due for all work completed up to the termination date.

11.2 Termination by Company

We may terminate services immediately for non-payment, breach of contract, or other material violations of these terms.

12. Data Protection and Privacy

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the EU General Data Protection Regulation (GDPR).

13. Dispute Resolution

13.1 Governing Law

These terms are governed by Estonian law and EU regulations.

13.2 Jurisdiction

Any disputes shall be resolved in the competent courts of Estonia, with preference for mediation and arbitration where applicable.
